1. Acceptance of Terms
By accessing or using the Paier platform (the “Service”) provided by Paier, Inc. (“Paier,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.
These Terms apply to all users, including employers, employees, vendors, and any other parties accessing the Service.
2. Description of Service
Paier provides an AI-powered accounts payable automation and daily pay platform that includes:
- Invoice processing and payment automation
- Vendor management and communication
- Daily pay / earned wage access for employees
- Bank account connectivity via Plaid
- AI assistant (“Bob from Accounting”) for financial tasks
- Email inbox scanning for invoice detection and fraud prevention
- Fraud detection and security monitoring (Guardian AI)
3. Account Registration
3.1 Eligibility
You must be at least 18 years old and have the legal authority to bind yourself or your organization to these Terms.
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
3.3 Accurate Information
You agree to provide accurate, current, and complete information during registration and to update such information as necessary.
4. Acceptable Use
You agree NOT to:
- Use the Service for any illegal purpose or in violation of any laws
- Submit false, misleading, or fraudulent information
- Attempt to gain unauthorized access to any part of the Service
- Interfere with or disrupt the Service or servers
- Use the Service to transmit malware or harmful code
- Reverse engineer, decompile, or attempt to extract source code
- Use automated systems (bots, scrapers) without permission
- Impersonate another person or entity
5. Financial Services
Important: Paier is a technology platform, not a bank. Banking services are provided by our financial partners.
5.1 Payment Processing
Payment processing services are provided through third-party partners including Stripe, Dwolla, and Plaid. Your use of these services is subject to their respective terms and conditions.
5.2 Daily Pay / Earned Wage Access
Daily pay features allow eligible employees to access earned wages before payday. This is subject to:
- Employer enrollment and approval
- Available earned wage balance
- Applicable fees (if any) disclosed at time of transaction
5.3 ACH Transfers
ACH transfers typically take 1-3 business days. You authorize us to initiate debit and credit entries to the bank accounts you connect.
6. Email Scanning & Gmail Integration
6.1 Authorization
By connecting your Gmail account to Paier, you authorize us to access your email data as described in our Privacy Policy (Section 9). This access is used solely to provide invoice detection, fraud prevention, and vendor communication features.
6.2 Your Responsibilities
- You are responsible for reviewing all AI-generated email drafts before sending
- You acknowledge that email scanning results (invoice amounts, vendor identification, threat assessments) are AI-generated and may contain errors
- You should verify critical financial information before taking action
6.3 Limitations
- Email scanning is provided as-is and may not detect all invoices, threats, or relevant emails
- Guardian AI fraud detection is a supplementary tool and does not guarantee protection against all threats
- We are not responsible for actions taken based on AI-generated assessments
6.4 Revocation
You may disconnect your Gmail at any time from the Settings page. You may also revoke access from your Google Account permissions. Upon revocation, email scanning features will be disabled and stored scan data will be deleted within 30 days.
7. Fees and Billing
Fees for using the Service are described on our pricing page and in your service agreement. We reserve the right to change fees with 30 days notice.
- Subscription fees are billed monthly or annually as selected
- Transaction fees (if applicable) are deducted at time of transaction
- All fees are non-refundable unless otherwise stated
8. Intellectual Property
The Service, including its original content, features, and functionality, is owned by Paier and is protected by copyright, trademark, and other intellectual property laws.
You retain ownership of any content you upload (invoices, documents, etc.), but grant us a license to use, process, and store such content to provide the Service.
9. AI Services (Bob from Accounting)
Our AI assistant “Bob from Accounting” is designed to help with financial tasks but:
- Is not a substitute for professional financial, legal, or tax advice
- May occasionally make errors or provide incomplete information
- Should have its outputs reviewed before taking significant actions
You are responsible for verifying any information or recommendations provided by the AI.
10. Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data, including specific provisions for Gmail data usage.
11. Third-Party Services
The Service integrates with third-party services including:
- Google (Gmail — email scanning and sending)
- Plaid (bank account connectivity)
- Stripe, Dwolla (payment processing)
- QuickBooks (accounting sync)
- Gusto (payroll integration)
Your use of these services is subject to their respective terms. We are not responsible for their availability or functionality.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY OR RELIABILITY OF RESULTS
We do not guarantee uninterrupted or error-free operation of the Service.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAIER SHALL NOT BE LIABLE FOR:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, data, or business opportunities
- Damages arising from third-party services or integrations
- Damages arising from AI-generated recommendations or email assessments
Our total liability shall not exceed the amounts paid by you to Paier in the 12 months preceding the claim.
14. Indemnification
You agree to indemnify and hold harmless Paier, its officers, directors, employees, and agents from any claims, damages, or expenses arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
15. Termination
We may suspend or terminate your account at any time for:
- Violation of these Terms
- Fraudulent or illegal activity
- Non-payment of fees
- Extended inactivity
You may terminate your account at any time by contacting support. Upon termination, your right to use the Service ceases immediately.
16. Changes to Terms
We may modify these Terms at any time. Material changes will be communicated via email or notice on the Service at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance.
17. Governing Law
These Terms shall be governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes shall be resolved in the courts of New York County, New York.
18. Dispute Resolution
Before filing any claim, you agree to attempt to resolve the dispute informally by contacting us at legal@paier-ai.com. We will attempt to resolve the dispute within 30 days.
19. Severability
If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
20. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Paier regarding the Service.
